1. The service
Strivr is software for organizations to manage their people, roles, documents, messaging, signature and approval requests, and a record of activity ("Strivr" or the "Service"). The current release is Strivr Core, version 1. We may add, change or remove features as the Service develops. If we make a change that materially reduces what you can do, we will give reasonable notice.
2. Accounts and security
- The person who creates the organization becomes its owner and is responsible for how the organization uses Strivr, including who is invited and which roles and permissions they receive.
- Each sign-in belongs to one person in one organization. Do not share sign-ins. Keep your password confidential and tell us promptly if you think an account has been compromised.
- When someone leaves your organization, you are responsible for ending their access.
- You are responsible for everything done through your organization's accounts, except where it results from our failure to meet these terms.
- You must give accurate information when you sign up and keep it up to date.
3. Acceptable use
You and the people you invite must not:
- use Strivr for anything unlawful, or to store or share content you have no right to;
- upload malware, or try to gain access to accounts, data or systems that are not yours;
- test, scan or probe the security of the Service without our written permission;
- send spam or abusive messages, or harass others;
- copy, resell or reverse engineer the Service, except where the law allows;
- overload the Service, or work around limits or security controls; or
- use Strivr for documents that the law does not allow to be signed electronically (see section 4).
4. Electronic signatures and approvals
Strivr provides tools to request, apply and record signatures, approvals and acknowledgements. For each signature it records who signed, when, which document version, and a fingerprint of the signed file.
Nigerian law generally recognizes electronic signatures, but there are exceptions. The Cybercrimes Act excludes, among other things, wills and other testamentary documents, birth and death certificates, matters of family law such as marriage, divorce and adoption, court orders and official court documents, and the cancellation of utility services. Other rules, such as for land and property documents, may require particular formalities. You must not use Strivr for documents that the law requires to be signed in another way.
You are responsible for deciding whether an electronic signature is suitable for a particular document, for making sure the people asked to sign are the right people and are authorized to sign, and for any further identity checks the document needs beyond a person's sign-in. Strivr is not a law firm and does not give legal advice. Whether a signature is valid or enforceable in a particular case depends on the law and the facts, and we do not promise any outcome.
5. Your data
- Ownership. You own the information you put into Strivr ("Customer Data"). You give us the right to host, process and display it only as needed to provide and protect the Service.
- Roles under data protection law. For Customer Data that includes personal data, you are the controller and we are your processor. We process it on your instructions and as described in our Privacy Policy and in the data processing terms between us. You are responsible for having a lawful basis for the data you store, for telling the people concerned, and for keeping to the Nigeria Data Protection Act 2023.
- Sensitive data. Store only what you need. You decide what to put in custom fields, including sensitive ones.
- Security. We use reasonable technical and organizational measures to protect Customer Data, described in the Privacy Policy.
- Exports and deletion. You can download your documents. When your account ends, we will make your data available for a reasonable period and then delete it, except for records we must keep by law and the signature records and activity log that exist to preserve evidence.
6. Free service and future plans
Strivr Core version 1 is free to use. Limits on the number of people or on storage may apply, and we will show them in the product. We may introduce paid plans for new or advanced features. If we do, we will show the price and ask for your agreement before charging you anything, and we will not charge you without that agreement.
7. Availability and support
We work to keep Strivr available, but the free service comes with no uptime guarantee. It may be unavailable from time to time for maintenance, upgrades, or reasons beyond our control. We provide support by email on a reasonable-effort basis at CONTACT_EMAIL_HERE.
8. Our rights
We own the Service, including its software, design and the Strivr name and logo. These terms give you only a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback, we may use it to improve the Service without obligation to you.
9. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without promises that it will be error-free, uninterrupted or fit for a particular purpose. Strivr does not provide legal, human-resources, tax or accounting advice, and you remain responsible for your own decisions and compliance.
10. Limits on liability
To the extent the law allows, we are not liable for indirect or consequential loss, loss of profit, revenue or goodwill, or loss of data caused by events outside our control. Our total liability to you for all claims arising from the Service is limited to the greater of (a) the fees you paid us in the 12 months before the claim and (b) ₦[AMOUNT]. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Nigerian law.
11. Your responsibility for claims
You will cover reasonable losses we suffer from a third-party claim that arises from Customer Data you upload without the right to do so, or from your breach of section 3 or section 4, provided we tell you promptly and let you help deal with the claim.
12. Suspension and termination
You may stop using Strivr at any time. To close your organization, contact us. We may suspend or end access if you breach these terms, if your use puts the Service or other customers at risk, if the law requires it, or if we stop offering the Service, in which case we will give reasonable notice where we can. When access ends, section 5 explains what happens to your data. The sections that by their nature should continue, including those on liability, intellectual property, data and governing law, will continue.
13. Changes to these terms
We may update these terms. We will change the date at the top and, for material changes, notify account owners by email or inside the app. If you keep using Strivr after a change takes effect, you accept the updated terms. If you do not agree, you should stop using the Service.
14. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute through good-faith discussion. If that does not work, [DISPUTE RESOLUTION: courts of Lagos State, or arbitration, to be confirmed with counsel].
15. General
- These terms, with our Privacy Policy and any data processing terms, are the whole agreement between us about the Service.
- If part of these terms is found unenforceable, the rest stays in effect.
- You may not transfer your rights under these terms without our written consent. We may transfer ours as part of a sale or reorganization of our business.
- Neither of us is liable for delay or failure caused by events beyond reasonable control.
- Not enforcing a right straight away does not mean we have given it up.
